in a medical/legal sense - what's the difference between brain damaged, and brain dead?

I don't know about the US, but in Canada brain damage is just a brain injury in which the persoon does not fully return to the person they were before the injury. Brain death is the absence of brain waves (electrical activity). Usually it has to measured 3 different times before they will officially call the patient brain dead.
